Franchisor. Its Predecessor
To simplify the language in
this offering circular, "disclosure document, we will use
certain shorthand terms to identify parties. "Vanguard-,"
"Us," and "We" means Vanguard Cleaning Systems, Inc., the franchisor,
party offering this franchise. "You" means the person who buys the
franchise. If the owner of the franchise is a business entity, "you"
also includes each partner, shareholder or other owner of that entity.
Vanguard is a California corporation incorporated in April? 1984. Vanguard does business under the name
"Vanguard Cleaning Systems" and "Vanguard." Vanguard''s
principal office is located at 655 Mariners Island Blvd., Suite 303, San Mateo, California, 94404.
Vanguard''s agent for service
of process is Raymond C. Leo at Vanguard''s principal address
stated above or the Commissioner of Corporations, California
Department of Corporations, 71 Stevenson Street, Suite 2100, San Francisco, California 94105.
Vanguard has not acquired the major portion of its
assets from anyone within the last 10
years.
We have no parent, predecessor or affiliates required
to be disclosed in this Item.
Business of the Franchisor
and the Franchise Offered
Vanguard franchises businesses
that specialize in commercial janitorial and building maintenance services
under the form of Franchise Agreement attached as Exhibit A. Vanguard provides
franchisees with janitorial accounts to service at the dollar volume levels
specified and within the applicable fulfillment period ("''Fulfillment
Period") in Exhibit C to this offering circulardisclosurc
document. Vanguard also offers master franchises to subfranchisors who
franchise others to operate janitorial businesses, but the master franchise is
not the subject of this offering circulardisclosurc document.
If you become a Vanguard
franchisee, you will offer janitorial and building maintenance services (the
"Service") to commercial accounts on site. You may operate the
franchise from your home. Most franchisees do not maintain a separate location.
Franchisees use specialized
business methods, called the "System," which may be modified by
Vanguard. Franchisees use certain service marks and other commercial symbols of
Vanguard called the "Marks."
There are no regulations
specific to the janitorial and building maintenance business known to Vanguard.
Like other businesses, you may be subject to generally applicable laws like
worker''s compensation, OSHA regulations, environmental regulations and others.
These regulations may require you to undertake measures for the protection of
employees and the public. You should contact local and state authorities for
detailed information on these requirements.
The market for janitorial and building maintenance
services is fairly well developed. Additional growth is expected from new
business construction and the trend toward outsourcing

work. Accounts include owners or operators of business and professional
offices, commercial, industrial and medical facilities. Competition includes
nationally franchised and local janitorial and building maintenance businesses.
Prior
Business Experience
Vanguard has offered
franchises like the one described in this circular since its incorporation in
1984. Vanguard also offers a Master Franchise for qualified persons to operate
as Vanguard''s subfranchisors within certain geographic markets. The Master Franchise
is not being offered to you. | It is the subject of a separate offering
circulardisclosurc document. Vanguard has never offered franchises in any
other line of business.
