THE FRANCHISOR, AND ANY PARENTS, PREDECESSORS AND AFFILIATES
To simplify the language in this Offering Circular,
"we", "us" or "our" means UNLIMITED MEDSEARCH
FRANCHISE SYSTEM, INC., the franchisor. "You" or "your"
means the person who buys the franchise. The franchisee may be an individual,
or an entity which includes all types of entities as defined in Section 22.2 of
the Franchise Agreement.. If the franchisee is an entity, "you" does
not include the principals of the entity, unless otherwise stated.
The Franchisor
and any Parents, Predecessors and Affiliates
We are a Nevada corporation established on May 3, 2007 with a
principal business address at 12520 High Bluff Drive, Suite #250, San Diego, CA 92130. We do business only under Unlimited Medical. There is no predecessor. We
have one affiliate, Unlimited Nurse Search ("UNS"). We are offering
franchises for the first time under this Offering Circular and we have never
offered franchises in any other line of business. UNS operates one Business of
the type being offered in this Offering Circular. UNS is under common control
with us. UNS is a California corporation and has been in business since August
13, 2001. The principal business address of UNS is 12520 High Bluff Drive,
Suite #250, San Diego, CA 92130. Our agent(s) for service of process is
identified in Exhibit 2 of this Offering Circular.
The Franchisor''s
Business
We offer and sell Unlimited MedSearch franchises. Under the
Franchise Agreement (the "Franchise Agreement"), which is Exhibit 6
to this Offering Circular, we grant the franchisee the right to establish and
operate a Unlimited MedSearch Business at a single location (the
"Business"). The franchisee owning the Unlimited MedSearch Business
will engage in the sale of contingency recruitment and permanent placement of
medical professionals to healthcare facilities nationwide, which is referred to
collectively as the "Service."
Unlimited MedSearch Businesses are distinguished from other
healthcare recruiting businesses by our unique methods of candidate
recruitment, candidate selection, candidate placement techniques, sales and
marketing strategies, uniform standards, office staffing, operational standards
and procedures, quality and uniformity of service offerings, employee training
and assistance, and advertising and promotional programs, all of which we may
change, improve, and further develop (the "System"). You will operate
your Business under the service mark and trade name "Unlimited
MedSearch" and other trade names, trademarks and service marks that we
specify now or designate for use in the future in connection with the System
(collectively, the "Proprietary Marks").
Market
and Competition
As an Unlimited MedSearch franchisee, you will be offering
your Service to the existing and newly contracted healthcare facilities, and
participating candidates. Clients consist primarily of Hospitals, but may
include but are not limited to Nursing Homes, Skilled Nursing Facilities,
Long-Term Care Facilities, Medical Clinics, Home Health Agencies, Physician
Offices and any other organization that hires healthcare professionals.
Competitors include any company engaged in the business of selling the Service,
and currently there is no known dominant medical contingency recruiting and
permanent placement services company throughout the United States. However, you may compete with other companies with
substantial resources including national, regional and local firms offering
healthcare recruiting services, such as travel, per diem and registry nursing
services.
Prior Business
Experience of the Franchisor and Its Affiliates
We do not conduct the type of business you would operate as a
franchisee, but UNS does. We have offered franchises for sale similar to the
franchise offered in this Offering Circular since August, 2007. Neither we nor
UNS has ever offered franchises other than the type of franchises described in
this Offering Circular.
Industry-Specific
Regulations
You must be familiar with local, county, state and Federal
laws which apply generally to the recruiting industry. These laws may include,
for example, health and safety, insurance, labor and licensing. WE STRONGLY
ADVISE THAT YOU CONSULT YOUR ATTORNEY AND LOCAL, STATE AND FEDERAL GOVERNMENT
AGENCIES BEFORE SIGNING THE FRANCHISE AGREEMENT TO DETERMINE ALL LEGAL
REQUIREMENTS THAT YOU MUST COMPLY WITH AND TO CONSIDER THEIR EFFECTS ON YOU AND
COST OF COMPLIANCE. It is your, and only your, responsibility, on a continuous
basis, to investigate and satisfy all local, county, state and Federal laws,
since they vary from place to place and change over time.
