Company
To simplify the language in
this disclosure document, the word "Company," "we" or
"our" means Tutoring Club, LLC, the franchisor of this business. The
word "you" means the person who buys the franchise whether you are an
individual or a corporation, partnership, limited liability company or other
legal entity. Company was incorporated in the State of California on July 7,
1999 as Tutoring Club, Inc. Effective June 1, 2006, Tutoring Club, Inc. was
merged into Tutoring Club, LLC, which was organized in the State of Nevada on
April 1, 2006. Company''s principal business address is 11241 S. Eastern Avenue,
Henderson, NV 89052. Company does business under the names "TUTORING
CLUB" and "TUTORING CLUB, LLC."
Company''s
Business Activities
Company grants franchises for, and may operate,
tutoring centers under the "TUTORING CLUB" trade name. TUTORING CLUB
Tutoring Centers specialize in providing tutoring services, homework assistance
and the general development of study skills for school-age children ("Tutoring
Centers").
Each Tutoring Center operates in accordance with Company''s system ("System"). The
distinguishing characteristics of the System include the TUTORING CLUB
Confidential Operations Manual ("Manual"); the proprietary TUTORING
CLUB software ("Software"); uniform operating methods, procedures and
techniques; methods for recruiting, hiring and training tutors; record keeping
and personnel management, all of which Company may change, improve and further
develop periodically.
Company offers a franchise
grant for a single Tutoring Center under the terms and conditions of the
Franchise Agreement attached as Exhibit B, which more particularly describes
your rights and obligations.
Company''s
Affiliates and Subsidiary
From 1991 to 2005, Company''s
president, Lawrence ("Larry") Schwartz, operated a TUTORING CLUB
Tutoring Center in San Jose, California, which is similar to the franchises
offered by Company. Tommy Tutor, LLC is a subsidiary of Company and leases
transportation services to Tutoring Club, LLC. The principle address of this
affiliate is 11241 S. Eastern Avenue, Henderson, NV 89052. Tommy Tutor, LLC has
never offered franchises in any line of business. Team Big Guys, Inc. is an
affiliate of Company and is an authorized supplier for our franchisees. The
principal business address of this affiliate is 11241 S. Eastern Avenue, Henderson, NV 89052. Team Big Guys, Inc. has never offered franchises in any line of business.
TutorAid, LLC is an affiliate of Company and leases the TutorAid software to
Tutoring Club, LLC. The principle address of this affiliate is 11241 S. Eastern Avenue, Henderson, NV 89052.
TutorAid, LLC has never
offered franchises in any line of business. TutorMark, LLC is an affiliate of
Company and licenses the TUTORINF CLUB trademarks and service marks to Tutoring
Club, LLC. The principle address of this affiliate is 11241 S. Eastern Avenue, Henderson, NV 89052. TutorMark, LLC. has never offered franchises in any line of business.
Lach, Inc. is an affiliate of Company and operates Tutoring Club Locations
outside the State of Nevada. The principle address of this affiliate is 11241 S. Eastern Ave., Henderson, NV 89052. Lach, Inc. has never offered franchises in any
line of business. The affiliates or subsidiary have never operated a business
similar to the franchises offered by Company.
Market and
Competition
You will compete with other
tutoring centers, learning centers and educational institutions offering
similar services, some of which are part of national or regional franchised and
non-franchised chains. You will offer your services throughout the year to
parents of school-age children. The market for your services is developing in
some markets and developed in others.
Industry
Specific Regulations
In Pennsylvania and perhaps
other states, tutoring facilities must have separate male and female restrooms,
among other regulations. Otherwise, we are not aware of any industry-specific
regulations; however, your Tutoring Center will be subject to various federal,
state and local laws and regulations affecting the business, including federal
and state environmental laws and regulations, state and local licensing,
zoning, land use, construction regulations and various health, sanitation,
safety and fire standards. You are also subject to employment laws such as the
Fair Labor Standards Act and various state laws covering such matters as
minimum wages, overtime and working conditions. In addition, your Tutoring Center maybe subject to other laws or regulations that are not specific to the
industry but applicable to businesses generally.
Business
History
Company operated a TUTORING CLUB Tutoring Center in Brentwood, California from May 2002 to December 31, 2006. Occasionally, Company will
repurchase Tutoring Centers from franchisees who desire to sell. Company will
sometimes resell these Tutoring Centers to new franchisees. For example, in
2004, Company purchased Tutoring Centers in Tracy, California and in Reno, Nevada, and in 2005, it purchased Tutoring Centers in Henderson and Las Vegas, Nevada. Company currently operates 0 Tutoring Centers in California and 6 Tutoring Centers in Nevada.
Company does not offer
franchises in any other lines of business. Company has offered franchises since
December 1999. Company does not have any predecessors or any other affiliates.
