THE FRANCHISOR, AND ANY PARENTS, PREDECESSORS AND AFFILIATES The Franchisor.

The Franchisor is TruePresence, LLC. For ease of reference, TruePresence, LLC will be referred to as "we", "us" or "TruePresence" in this Disclosure Document. We will refer to the person who buys the franchise as "you" throughout this Disclosure Document. If the franchisee is a corporation, partnership or limited liability company, certain provisions of the Franchise Agreement will also apply to the owners and will be noted.

TruePresence is a Maryland limited liability company that was formed on September 30, 2003. We currently conduct business under our entity name. Our principal business address is 250 West Pratt Street, Suite 880, Baltimore, Maryland 21201. Our agents for service of process are disclosed in Exhibit A. We do not have any predecessors.

Parents and Affiliates

Our parent company is PTL Corporation, a Maryland corporation formed on November 20, 2007. We have no affiliates that must be disclosed in this Disclosure Document.

The Franchise.

We offer franchises for the establishment and operation of a business ("TRUEPRESENCE Business" or "Business") which offers a full range of internet marketing solutions including search engine marketing, online advertising, web design and development, email marketing, website hosting, domain name management and other related services ("Internet Marketing Solutions"). We will refer to the companies to which you will offer your Business'' services as "Clients" throughout this Disclosure Document. You will have the right to use our proprietary methods, along with our proprietary operations manual and software which are designed to aid in the marketing and operation of the Business. A TRUEPRESENCE Business is licensed to use the service mark "TRUEPRESENCE" and other trademarks, service marks and commercial symbols ("Marks"), as well as our proprietary business methods and techniques ("Licensed Methods").

Our Licensed Methods result from our management''s twelve years of experience in assisting businesses with website design and development, domain name management, web hosting and online marketing. You will have access to our marketing materials which are designed to assist you in marketing and promoting the Internet Marketing Solutions to businesses located within your primary marketing area. You do not need to have a technical background to qualify to purchase this franchise, because you will not be required to provide technical services to Clients, although you may do so if we approve it. You will employ local marketing techniques such as networking, conducting seminars, partnering with complimentary businesses, advertising in local publications, marketing to local business groups and meeting with prospective Clients to evaluate their Internet marketing needs.

Our staff will work with you and the Clients to provide the Internet Marketing Solutions. The Clients will be charged "retail" prices, and from the amounts paid by Clients we will deduct a "wholesale price" for our services and, after making other deductions described in this document, then we will pay you the remaining amount of the fees paid to us by those Clients (the "Residual"). This system is further explained in Item 6 of this document, on pages 6 and 8. Depending on the solution purchased by your

Clients, they may have access over the Internet to a customized package of website management tools that will allow Clients to maintain and upgrade their websites by communicating directly with us. Additional services provided by TruePresence include a team of experienced support personnel who are available by either phone or email.

A TRUEPRESENCE Business can be located in your home or in an office. You will be given a designated geographic area ("Primary Marketing Area") within which you will focus your proactive sales, marketing and promotional efforts. Your marketing efforts must be directed at prospective Clients in your Primary Marketing Area, although you will be permitted to promote your TRUEPRESENCE Business to your pre-existing business contacts outside of the Primary Marketing Area and develop Client relationship outside of the Primary Marketing Area on a referral basis. So long as you are in compliance with the Franchise Agreement, a copy of which is attached to this Disclosure Document as Exhibit B. we will not allow another franchised Business to be located in your Primary Marketing Area. See Item 12 for a discussion of your territorial rights.

Regulations

You should familiarize yourself with state and federal laws regulating telephone sales, Internet sales, electronic mail marketing and facsimile transmission which may apply to some of your marketing activities. There are also advertising laws of a more general nature that may affect your advertising and marketing activities. Depending on the nature of a Client''s business, you may be required to comply with laws that govern regulated industries, such as laws protecting the privacy of financial or medical information. You should familiarize yourself with laws and regulations that protect intellectual property, as well as other federal, state or local laws which may affect the operation of your Business generally. It will be your responsibility to comply with employment, worker''s compensation, insurance, corporate, taxing, licensing and similar laws and regulations.

Market and Competition

The market for Internet Marketing Solutions, including search engine marketing, online advertising, email marketing, web development, web hosting and domain management sold on a local level to businesses is somewhat developed with a variety of competitors, and the market is growing. As of the date of this Disclosure Document, competition varies depending on the geographic area and the type of Client to whom the services are offered. The amount of competition is likely to increase as the demand for Internet Marketing Services grows. We encourage you to study potential markets and the competition that may already exist there. You will experience competition from other businesses, both small and large, offering various products and services to Clients to assist them in marketing their business through the Internet.

Our Business Experience

We have offered TruePresence franchises since early 2005.

Our affiliate, Santa Cruz Corporation f/k/a Alabanza Corporation., offered and entered into reseller agreements whereby resellers purchase and re-sell hardware and software services related to website hosting, but resellers were not allowed to use the Marks or the "Alabanza" name or marks and sell primarily on the Internet. The reseller program began in September 1996 and in 2005 Alabanza Corporation assigned these functions to Alabanza, LLC upon forming it in 2005. NaviSite, Inc. assumed control of those reseller agreements when it purchased Alabanza, LLC on August 10, 2007

Neither we nor Santa Cruz have offered franchises or licenses in any other line of business. We previously operated a TruePresence Business from our principal business address but no longer do so. Neither Santa Cruz nor International has operated Businesses of the type to be operated by you.
