To simplify the language in
this Franchise Disclosure Document, the word "Company,"
"franchisor", "we", "our" or "Right at
Home" means RIGHT at HOME, INC., the Franchisor of this business; and the
word "you" or "your" means the person who buys the
franchise, whether you are an individual or a corporation, partnership, limited
liability company or other legal entity. Company is a corporation and was
incorporated in the State of Nebraska on July 8, 1999. Company''s principal
business address is 11949 "Q" Street, Omaha, Nebraska 68137. Besides its corporate name, Company does business under its corporate name and the names
"RIGHT at HOME" and "RAH STAFFING SERVICES." The Company
has no predecessor from whom the Company acquired, directly or indirectly, the
major portion of franchisor''s assets. The Company has no parent or affiliate
that offers franchises in any line of business or provides products or services
to the franchisees of the Company.
Company''s Business Activities
RIGHT at HOME franchised
businesses specialize in an array of services including, but not limited to,
providing personal care, non-medical care, other in-home care, assistance and
companionship services to and supportive care of seniors and others, and supplemental
staffing services for nursing homes, hospitals and other medical settings
(collectively, a "Franchised Business"), Company grants franchises
for, and may periodically operate, businesses under, th� "RIGHT at HOME"
trademark which is Company''s principal mark; and Company uses a secondary mark
"RAH STAFFING SERVICES" to identify its supplemental staffing
services. The Company does not actually operate any business of the type being
franchised and the Company has no other business activities.
Each Franchised Business
operates in accordance with Company''s system ("System"). The
distinguishing characteristics of the System include the RIGHT at HOME
Confidential Operations Manual ("Manual"); the "RIGHT at
HOME" and "RAH STAFFING" marks along with other means of
identification including certain trademarks, service marks and logos as are now
designated or may be designated in the future (collectively, the
"Marks"); uniform operating methods, procedures and techniques; other
confidential operations procedures; and methods and techniques for record
keeping, personnel management and training, marketing and advertising, all of
which Company may change, improve and further develop periodically.
As described in this Franchise Disclosure Document,
Company offers a franchise grant for a single Franchised ■ Business under
the terms and conditions of the Franchise Agreement attached as Exhibit B,
which more particularly describes your rights and obligations.
Market and Competition
You will compete with other
businesses offering similar services, some of which are part of national or
regional franchised and non-franchised chains. The in-home assistance and
companionship services will be offered primarily to seniors or other
individuals who are in need of personal care, non-medical, or supportive care.
The staffing services will be offered to nursing homes, hospitals and other
medical settings. The market for both assistance and staffing services is
developing in some markets and are already developed in others.
Industry Specific
Regulations
Your Franchised Business will
be subject to various federal, state and local laws and regulations, including
federal and state environmental laws and regulations, stale and local
licensing, zoning, land use, construction regulations and various health, sanitation,
safety and fire standards. You are also subject to employment laws such as the
Fair Labor Standards Act and various state laws covering such matters as wages
and hours. In addition, your Franchised Business will be subject to other laws
or regulations that are not specific to the industry and that apply to
businesses generally.
Business History
The Company has no predecessors
or affiliates. Allen Hager, the Company''s President, has been a 50% owner of
and has operated Teryl Corp., a business providing non-medical in-home
assistance and companionship services, since September 1995. Teryl Corp. was
incorporated in the State of Nebraska in May 1995 and is located at 13304 West Center Road, Omaha, Nebraska 68144, and its telephone number is (402) 697-7536.
In October 1998, Teryl Corp. began offering healthcare supplemental staffing
services. In July 2001, Teryl Corp. began offering home health services.
Company does not offer
franchises in any other lines of business. Company has offered franchises since
May 5, 2000. Likewise, Company does not have any predecessors or affiliates
offering franchises in this or any line of business.
