To simplify the language in
this Offering CircularFranchise Disclosure Document. Outdoor
Connection, Inc. is referred to as "we," "us,"
"our," or "Outdoor Connection." Outdoor Connection is a
corporation organized under the laws of the State of Minnesota on April 14,
1989. We refer to the person or entity that buys the franchise as
"you" or "your" throughout the Offering CircularDisclosure
Document. If you are a corporation, a limited liability company, or a
partnership, certain provisions of the Franchise Agreement also apply to the
stockholders, members, or partners of that entity, and will be noted.
Outdoor Connection offers a
franchise program to promote and arrange outdoor sporting adventures. We
started offering these franchises in 1990. We have never offered franchises for
any other type of business. We operate under our corporate name, and under the
name "Outdoor Connection." Our principal offices are located at 424 Neosho Street, Burlington, Kansas 66839. In addition to selling franchises, we arrange
outdoor sporting adventures from offices we operate. We do not operate any
other business. We do not have any predecessors required to be disclosed
in Item 1 .h We do not have any affiliates other than Outdoor
Connection Canada, Inc. and Outdoor Connection International, Inc. Outdoor
Connection Canada, Inc. began offering master and unit Outdoor Connection�
franchises in Canada, and Outdoor Connection International, Inc. began offering
master and unit Outdoor Connection franchises in all other parts of the world,
excluding Canada and the United States, in April 2006. Outdoor Connection
Canada and Outdoor Connection International are Kansas corporations. Their
office addresses are the same as ours. They have not offered franchises in any
other line of business.
We offer you the opportunity
to promote and arrange lodging and travel services for outdoor sporting
adventures, using our names, marks, and systems. From time to time we look for
opportunities to sell lodging and travel services to businesses, as opposed to
individual hunters and fishermen. As of the date of this Offering
Circular, we have one of those arrangements. We cannot
predict how long this relationship will last or whether we will enter into any
other arrangements. In connection with these arrangements, if the business has
an outlet located in your designated territory and the outlet requests us to
arrange travel and lodging services for the outlet or its customers, you will
be given the first option to provide those services if you sign our Account
Agreement and satisfy other conditions. We may or may not look for additional
opportunities like this one, depending upon the success of our relationship
with this business.
You will offer your services
to individuals and groups interested in outdoor sports activities, including
individuals, sports enthusiasts in private clubs and organizations, and
corporations looking to schedule a corporate retreat or getaway. The
competition for your services will come from a variety of sources. These
include companies and individuals offering similar services over the Internet;
telemarketing firms offering similar services; businesses that primarily offer
other products, but also offer travel services, such as local sporting goods
stores, and companies offering outdoor adventure equipment through catalog
sales; travel agencies; and lodges, resorts, hotels and outfitters that
advertise at trade exhibits and sports shows.
In most states, you will need
a business permit to operate your business, even if you operate the business
out of your home. Some states, such as Florida, also require people in the
travel business to obtain
bonds and licenses and these regulations could apply to you. We are not aware
of any other specific regulations that will affect your business that are
unique to this type of business. You should seek out any other regulations or
laws affecting your business. You may also want to consult with an attorney or
accountant to advise you on all laws or regulations unique to this type of
business.
