MATHNASIUM - FDD UFOC ITEM 1 Detail

To simplify the language in this disclosure document, "Mathnasium", "we", "us", and "our" means Mathnasium Center Licensing, LLC and "you" means the person who acquires the franchise. If you are a corporation, limited liability company ("LLC") or other legal entity, "you" also includes your owners.

 

Mathnasium is a California limited liability company formed in California on June 20, 2003. Our principal business and corporate address is 5120 West Goldleaf Circle, Suite 130, Los Angeles, California 90056.

 

Mathnasium is a subsidiary of Mathnasium LLC, which also has its principal place of business at 5120 West Goldleaf Circle, Suite 130, Los Angeles , California 90056. Mathnasium LLC is a limited liability company formed in California on November 17, 2002. Mathnasium operates under the names "Mathnasium Learning Centers", "Mathnasium Centers", "Mathnasium The Math Learning Center" and "Mathnasium."

 

Our agent for service of process in California is the Commissioner of Corporations, whose address is 1515 K Street, Suite 200, Sacramento, California 95814. A different agent for service of process may appear on the receipt (very last page of this disclosure document) if the franchise is in a state other than California.

 

The Ma:hnasium Method

 

Mathnasium offers and sells franchises ("Franchise") throughout the United States to independent operators for the operation of after-school learning centers ("Mathnasium Centers''* or "Centers") that provide math programs using the Mathnasium Method of learning at locations we have consented to. Mathnasium Centers are open to the public at least four times a week during after-school hours for at least three hours. Children typically attend Mathnasium Centers once or twice a week for approximately 45 to 60 minutes per session. Some children attend more than twice a week.

 

Mr. Larry Martinek is the creator of the Mathnasium Method. Over a 30 year career as an educator he developed a substantial body of educational works that form the basis of the Mathnasium Method. The Mathnasium Method uses diagnostics, instruction, guided practice, manipulatives and computer software. The Mathnasium Method includes more than 7,000 worksheets for children between 7 and 17 years old.

 

The Mathnasium Center Franchise

 

A Mathnasium Center Franchisee is granted the right under a Franchise Agreement to use the Mathnasium system including its teaching techniques, trade secrets, service marks and trademarks in connection with operating 1 Mathnasium Center. The Franchise is a license for an initial term of 5 years (the term is renewable for additional 5 year terms, at no additional fee). The franchise granted to you is not exclusive. However, we will designate a territory for you anc not allow another Mathnasium Center to be located there except in very unusual circumsiances including a material breach of the Franchise Agreement or significant underperformance. To date, Mathnasium has never exercised this right. If you apply for a Mathnasium Center franchise, your evaluation will include a personal interview and an evaluation of your math skills.

 

Market; Competition

 

Mathnasium''s services are generally marketed to parents of children. The supplemental educational market continues to experience increasing competition. Your competitors include educational services offered on the Internet, tutoring institutes, tutoring centers, learning centers, test prep centers, cram schools, individual tutors, self-tutoring programs, other Mathnasium Centers, and other individuals, companies and organizations.

 

Industry-Specific Regulations

 

Certain states may require specific certification in connection with your instructional duties as a franchisee. Furthermore, your Mathnasium Center may be considered a "school" under applicable zoning codes. Classification of your Center as a "school" may entail additional requirements such as separate bathrooms for boys and girls, water fountains, special exit doors equipped with panic bars, and accommodations for disabled persons. Although we do not regard Mathnasium Centers as schools, we urge you to consult with your attorney concerning any special requirements that may apply to you or your Center. You must comply with all applicable laws and regulations regardless of any general information or guidance we may provide you.

 

Prior Business Experience of Mathnasium, its predecessors and affiliates

 

Mathnasium does not do business under any other name, nor do we engage in other business activities. Mathnasium does not directly operate a business of the type being franchised, but our parent Mathnasium LLC has operated 1 Mathnasium Center in California since 2002 and another Center since 2005. We began offering franchises in late 2003.


Neither we nor Mathnasium LLC have offered franchises Mathnasium has no predecessor and no other affiliates.
