THE FRANCHISOR. ANY PARENTS. PREDECESSORS. AND AFFILIATES

To simplify the language in this Franchise Disclosure Document, "we" means Coverall North America, Inc. ("Coverall"), the franchisor. "You" means the individual, partnership, corporation or other entity that buys the franchise. We were incorporated in the State of Delaware on February 26, 1985, and have no predecessor. Coverall merged with Coverall Merger Corporation, a Delaware corporation, on February 4, 2005, and Coverall is the surviving corporation. Coverall Acquisition, LLC ("Acquisition"), which was organized in Delaware in May 1998, became our majority shareholder on July 7, 1998. On February 4, 2005, Acquisition merged with CNA Holding Corporation ("Holding"), a Delaware corporation incorporated on February 4, 2005. Holding is the surviving corporation, which owns 100% of the stock of Coverall and Coverall Hospitality Services, Inc. ("Hospitality"), a Delaware corporation incorporated on December 14, 2004, to provide services to hospitality facilities. The Coverall Foundation, Inc., a not for profit corporation, was incorporated in Florida on January 21, 2005. The Foundation was established by Coverall to provide deserving dependents of Coverall janitorial franchisees with scholarships so that they can pursue educational opportunities. On September 28, 2007, Holding became the sole shareholder of TBNC, Inc. ("TBNC"), a Coverall Service Franchisee. TBNC is our affiliate and offers the same type of franchises as we do in the commercial janitorial industry TBNC was incorporated in the Commonwealth of Virginia on May 4, 1988.

Our Global Support Center, and the principal offices for Holding, The Coverall Foundation, Hospitality, and TBNC are located at 5201 Congress Avenue, Suite 275, Boca Raton, Florida 33487. Our agents for service of process are listed in Exhibit C. We do business under the names "Coverall''⁹ and "Coverall Cleaning Concepts�," at the following regional sales and support centers:

Coverall makes available to you certain insurance products. We have an on the job accident insurance program made available to you through National Union Fire Insurance Company, a member of American International Group, Inc. (See Item 6.) We also make available general liability insurance through Lexington Insurance Company and American International Speciality Lines, and a fidelity bonding program through Federal Insurance Company. (See Item 6.)

We offer and sell three types of franchises in the commercial janitorial cleaning industry. The three types of franchises are Janitorial Franchises, Service Franchises, also called Master Franchises, and Territory Franchises. Each type of franchise is described in a separate offering circular. We do not currently nor have we ever directly operated Janitorial Franchises ourselves. This Franchise Disclosure Document is for use in offering and selling Janitorial Franchises. However, this Franchise Disclosure Document includes in this Item 1 and in Item 20 certain information concerning Service Franchises and Territory Franchises, neither of which will be sold or operated in the area where Coverall Regional Support Centers are located.

Territory Franchises are similar to Janitorial Franchises, except that we provide these franchisees with an exclusive territory, and we do not provide them with customers to service (sometimes referred to as "customer accounts") as part of the purchase of their franchise. As of the date of this Franchise Disclosure Document, we have Territory Franchises in Garrett, Kentucky; Southfield, Mississippi; Corpus Christi and McAllen, Texas; and Liberty Lakes, Washington. We also have an international territory franchise owner in Kuwait and Qatar.

Service Franchises are independent businesses licensed by us to use the Coverall name, design, and business plan to offer, sell, and service janitorial franchises under agreements between Service Franchises and their own janitorial franchisees. Service Franchises are sold only in metropolitan or other designated territories and in foreign countries, and Service Franchises are permitted to offer, sell, and service janitorial franchises only in the territories where the Service Franchises are located. As of the date of this Franchise Disclosure Document, we have Service Franchises with Support Centers at the following locations:

The general market for franchisee''s services includes businesses that require building cleaning and maintenance services. Competitors include other commercial janitorial and building cleaning services, such as: small independent operators, other commercial cleaning franchises, and large commercial cleaning businesses.

Our business experience includes: offering Janitorial Franchises since July 1985, offering Service Franchises since October 1986, and offering Territory Franchises since May 1996. We have not operated company-owned Janitorial or Territory Franchises, nor have we offered a franchise in any other line of business.

We also do business under the name Global Collection Systems at our principal address in Boca Raton, Florida.
