additional fees found due as a result of an audit of Your financial records,
You must pay Us for Our audit fees if You have understated Gross Revenues by
more than 2% of the actual Gross Revenues found by the audit.

We do not provide
financing arrangements for you. If you obtain financing from others to pay for
some of the expenditures necessary to establish and operate the franchise, the
cost of financing will depend on your creditworthiness, collateral, lending
policies, financial condition of the lender, regulatory environment, etc.

AMOUNTS:
The Low amounts are based on Your converting an existing clinic or center to a
Center. The High amounts are based on Your establishing a Center and purchasing
all of the necessary equipment and furniture. Your actual costs may be more if
You select higher quality or quantity than We recommend.

Equipment
Fee: This includes all capital equipment needed to open your Center. See
Exhibit D in the franchise Agreement for a

TRAVELING
AND LIVING EXPENSES: Training is tuition-free, but You must pay for the
expenses of attendance, such as lodging, meals transportation and wages of
trainees. This estimate is based upon training 2 persons for 2 weeks. If any
training is required to be repeated after the initial training course, We may
charge You a reasonable fee to cover Our additional costs.

LEASE
DEPOSIT: Unless You own the Center premises, You must lease or sublease the
property from the owner. A typical Center contains approximately 1,000 to 2,000
square feet of space. A lease often requires payment of the first month''s rent,
a security deposit and a second month''s rent as a rent deposit.
(5)
FURNITURE
AND EQUIPMENT: Your Center will need 2 desks and 4 chairs, lobby chairs, 1 or
more file cabinets, a telephone system with voice mail, pager, copy machine,
telefax machine, calculator, typewriter, computer as well as business and swing
analysis software. You will also need Center supplies such as business cards

All soft good and Official BBFP Logo items are purchased from the Body Balance
for Performance Order Center.

SIGNAGE:
Signs include exterior and interior signs for Your Center. Local codes and Your
Lease may restrict the exterior sign which You may use at Your Center and
affect its cost. You must also purchase signs containing Our logo from our Order Center or company approved vendors only.
(7)
BUSINESS
AND PROFESSIONAL LICENSES: State and local authorities may require a
professional or other type of license to operate Your Center. We estimate this
amount based on Our experiences generally and will assist You in obtaining
these licenses. Individual circumstances may vary substantially, and You may
need to consult an attorney in the area where the Center will be located.

INITIAL
MARKETING EXPENSE: You must spend at least $2,000 in advertising and marketing
Your new Center as part of its grand opening. You may credit against such
spending the actual value of any products or services provided by third parties
assisting in Your Center grand opening.
(9)
MISCELLANEOUS
OPENING COSTS: This category includes the estimated premium amount on a one
year general liability insurance policy for property and liability losses and
claims, as well as, workers compensation and errors and omissions insurance.
The cost of insurance varies depending on many factors including but not
limited to driving records and where You live. We will assist You in selecting
appropriate insurance, but You should contact Your insurance agent and obtain
premium estimates.

You
are required to participate in the National Sales program. There is a one time
$100 set up fee and there is an annual $300 fee to have your website and your
site listed locally the major search engines. This fee is paid to Us and we in
turn add your site to the local website search service so that your location
appears near the top of local web searches for your location and site.
(11)
This
is the mandatory annual fee for you to have a BBFP Website that we build for
you so that it is consistent with the Our National website. This fee also
covers the listing of your URL which we procure for you.
(12) This is the monthly fee for our
required online scheduling and reporting system. The ,.--f Formatted: Font color: Auto ) base fee covers all setup and a
schedule for one clinical staff on a monthly basis.
Additional
Clinical Staff schedules are available at $15 per schedule. In the high range
of the fees we included 2 instructors in the fees ($50) on a monthly basis.
(13)���� ADDITIONAL FUNDS: This
category includes estimated payroll, utilities, vendor,
royalties and similar costs during the initial phase of a new Center. We cannot
guarantee
that You will not have additional expenses starting Your business. Your costs
will depend
on factors such as how much You
follow the franchise System and procedures, the local _.---{Deleted: License ~] market for these products and
services, competition and the prevailing wage rates.

(14) Except for security
deposits, none of the above listed fees, costs or payments are expected to be
refundable. We do not provide financing for any of these listed fees, costs or
payments.
