BUSINESS EXPERIENCE

 

Chairman of the Board of Managers: Robert G. Liggett. Jr.

 

Robert G. Liggett, Jr., through his family limited liability company, Liggett Ventures LLC, purchased substantially all of the operating assets of Elias in December 2000 at which time he became the Chairman of the Board of Managers of Big Boy Restaurants International LLC, Big Boy''s parent. Before this transaction, Mr. Liggett was Chairman of Liggett Broadcasting Group, founded in 1970. Liggett Broadcast Group operated radio stations in Detroit, Michigan, Buffalo, New York, Minneapolis, Minnesota, Columbia, South Carolina, Dayton, Ohio and several California markets and merged with Citadel Communications Company in 2000. Also, this company was the largest privately-owned radio broadcasting company in Michigan. In 1999, Mr. Liggett was honored with the Michigan Association of Broadcasting''s Lifetime Achievement Award.

 

Chief Executive Officer: Anthony T. Michaels

 

Mr. Michaels began his employment with Elias as a Purchasing Agent in 1978. In 1983, he was appointed Elias'' Director of Institutional Sales. In 1985, he was appointed Elias'' Marketing Director. In 1989, he was appointed Elias'' Vice President, Marketing. In 1996, Mr. Michaels was appointed Elias'' Executive Vice President, Marketing and Public Relations. In 1999, Mr. Michaels was appointed Elias'' Chief Executive Officer. Upon the sale of Elias'' assets to Big Boy and its affiliates in 2000 as described in Item 1 above, Mr. Michaels'' employment with Elias ceased and he was appointed Chief Executive Officer of Big Boy.

 

Executive Vice President. Chief Financial Officer and Treasurer: Paul W. Black

 

Upon the sale of Elias'' assets to Big Boy and its affiliates in 2000 as described in Item 1 above, Mr. Black was appointed Chief Financial Officer and Treasurer of Big Boy. From 1995 through 2000, Mr. Black served as Executive Vice President and Chief Financial Officer of Elias. From 1990 through 1995, Mr. Black was Treasurer of Sames Electrostatic, Inc., a supplier of automotive industry paint finishing systems located in Livonia, Michigan. Mr. Black has been an adjunct Professor of Accounting and Finance at Davenport University since 1992.

 

Executive Vice President. Procurement and Wholesale Onerations: Ralph Geromette

 

Mr. Geromette began his employment with Elias in 1969. Mr. Geromette held various positions in Elias'' Wholesale Operations and became Elias'' Director of Commissary Operations in 1975. In 1987, he was appointed Elias'' Vice President of Food Processing and Distribution. In 1996, he was appointed Elias'' Vice President, Wholesale Operations. In 1997, he was promoted to Executive Vice President of Elias. Upon the sale of Elias'' assets to Big Boy and its affiliates in 2000 as described in Item 1 above, Mr. Geromette''s employment with Elias ceased and he was appointed Executive Vice President, Procurement and Wholesale Operations of Big Boy.

Executive Vice President. Marketing and Innovation: William R. Hadden

 

Mr. Hadden was hired as Marketing Director of Big Boy in May 2001. In December 2002, he was named Vice President, Marketing for Big Boy. In December 2006, Mr. Hadden was promoted to Executive Vice President Marketing and Innovation. Before joining Big Boy, Mr. Hadden was Vice President, Account Planning for Coomes Dudek, a brand communications agency in Birmingham, Michigan, from February 1999 until April 2001. From 1990 to 1999, Mr. Hadden worked at the advertising agency of Kolon Bittker & Desmond in Troy, Michigan, where he ascended to Senior Vice President responsible for agency management and operations, including the areas of account services, strategic planning, media and broadcast publication.

 

Senior Vice President Franchise Operations: Mustafa Dakroub

 

Mr. Dakroub began his employment as Big Boy''s Senior Vice President Restaurant Operations in January 2005. In December 2006, Mr. Dakroub was appointed Senior Vice President Franchise Operations. From December 1999 to January 2005, Mr. Dakroub was Director of Franchise Development/Director of Operations for La Shish, Inc., located at 13250 Rotunda, Dearborn, Michigan. From February 1992 to October 1999, Mr. Dakroub was the Concept Development Director/Franchise Director for Al Homaizi International Management Co. in Kuwait.

 

Vice President and General Counsel: Jennifer Bourgoin

 

Ms. Bourgoin began her employment as Big Boy''s Vice President and General Counsel in February 2005. From August 1999 to February 2005, Ms. Bourgoin was an attorney with the law firm Timmis & Inman, PLLC, Detroit, Michigan.

 

Vice President. Accounting: Rhoda Ardagna

 

Ms. Ardagna began her employment with Elias in 1973 as an Accounts Payable Processor. In 1975, she was promoted to a Bookkeeper and, in 1980, she was promoted to Financial Analyst. In 1985, Ms. Ardagna became Elias'' Accounting Manager and was appointed Elias'' Corporate Controller in 1992. In 1997, she was promoted to Elias'' Vice President, Accounting. Upon the sale of Elias'' assets to Big Boy and its affiliates in 2000 as described in Item 1 above, Ms. Ardagna''s employment with Elias ceased and she was appointed Vice President, Accounting of Big Boy.

 

Vice President Company Operations: Alan Brinker

 

Mr. Brinker started as a dishwasher with Elias in 1988. Mr. Brinker was promoted to Manager in 1992. In November 1999, he was promoted to Area Supervisor. Upon the sale of Elias'' assets to Big Boy and its affiliates in 2000 as described in Item 1 above, Mr. Blinker''s employment with Elias ceased and he was appointed Area Supervisor for Big Boy. In October 2002, he was appointed Regional Director of Operations. In November 2006, Mr. Brinker was promoted to Vice President Company Operations.

 

Vice President! Food Manufacturing: David M. Gilin

 

Mr. Gilin began his employment with Elias in 1970. Mr. Gilin held various positions in Elias'' Wholesale Operations and became Elias'' Director of Commissary Operations in 1989. In 1997, he was appointed Vice President, Food Manufacturing of Elias. Upon the sale of Elias'' assets to Big Boy and its affiliates in 2000 as described in Item 1 above, Mr. Gilin''s employment with Elias ceased and he was appointed Vice President, Food Manufacturing of Big Boy.

Vice President. Ohio Operations: Richard Myles

 

Mr. Myles began his employment with Elias as a Manager in 1975. In 1977, he was promoted to Elias'' Area Supervisor. In 1983, Mr. Myles was appointed Elias'' Assistant Director of Restaurant Operations. Mr. Myles was promoted to Elias'' Director of Cleveland Operations in 1985. In 1995, Mr. Myles was appointed Elias'' Vice President, Cleveland Operations. Upon the sale of Elias'' assets to Big Boy and its affiliates in 2000 as described in Item 1 above, Mr. Myles employment with Elias ceased and he was appointed Vice President, Ohio Operations of Big Boy.

 

Vice President Franchise Development: David A. Knitter

 

Mr. Knitter has been Franchise Development Manager for Big Boy since July 2001. In January 2005 he was named Vice President Franchise Development. He was an Account Executive for Data Media Products, Inc., Madison Heights, Michigan, from April 2000 until July 2001. From November 1998 until July 2001, Mr. Knitter was the co-owner of Prism Restaurants II, Inc. which operated two Manhattan Bagel franchises in Rochester Hills, Michigan. Before that, he was employed by Elias from 1979 until 1998 in different capacities, including Senior Operations Consultant (February 1995 to November 1998) Director of Franchise Operations (October 1991 to February 1995), and as an Area Supervisor, General Manager and various hourly restaurant positions in the Big Boy Restaurant system.
