The Franchisor
Appliance Outlet Centers ("we", "our" or "us") is a California corporation that was formed on December 14, 2005 and has its principal place of business at 4477 N. Blackstone Avenue, Fresno, California 93726. We do business under our corporate and under our trade name "Bilsten's Appliance Outlet." We will refer to the person who buys this franchise as "you" throughout this Offering Circular. If the franchise purchaser is a business entity, "you" also includes each partner, shareholder and/or other owner of that entity.
We are offering franchises for the operation of retail facilities operating under the Bilsten's Appliance Outlet name (the "Facility" or "Franchised Business") which sell name brand, "scratch and dented" appliances at prices that are less than those found in conventional appliance stores and provides limited repair services ("Branded Merchandise"). Our principal owns the mark "Bilsten's Appliance Outlet" and has granted us a non-cancelable license to sub-license the mark to our franchisees. Our principal owns one location of the type being franchised, which is located in Fresno, California. We have never offered franchises in any other line of business. We will begin offering franchises in November of 2005.
Our agents for service of process are listed in Exhibit 1.
Our Affiliate/Predecessor
We have no predecessor, but have an affiliate. Our affiliate is Bilsten's Appliance Gallery, a California corporation formed in 1998, and is currently located at our headquarters ("Affiliate"). Our Affiliate has never offered franchises in this or any other lines of business.
The System
Our system includes interior design, layout, color scheme, fixtures and furnishings; Branded Merchandise, materials and supplies; methods, uniform standards, specifications and procedures for operations; procedures for management control; training and assistance; and merchandising, advertising and promotional programs, all of which may be changed, improved and further developed (the "System").
The System is identified by certain trade names, service marks, trademarks, logos, emblems and indicia of origin, including the mark Bilsten's Appliance Outlet as is now designated and may in the future be designated by us in writing for use with the System (the "Proprietary Mark").
We will offer Bilsten's Appliance Outlet Facility franchises to operators, who will operate a Facility at new locations approved by us.
We may offer people the opportunity to own more than one Facility, and in that event, we would charge a reduced initial franchise fee the second Facility and each one thereafter.

The Franchise Offered
 
   
 
We offer you a franchise agreement (the "Franchise Agreement") which gives you the right to establish and operate one Facility at a location mutually approved by you and us (the "Approved Location"). The Franchise Agreement gives you the right to use the Proprietary Mark and the System solely with the operation of the Franchised Business, and solely at the Facility's Approved Location.
 
   
 
In general, the retail appliance business is very competitive. Your competition will come primarily from other appliance stores and "big box" retailers such as Best Buy. In some markets, these businesses are locally based and other markets may include regional or national chains as competitors. There will likely be a sharply increasing number of entrants in this market over the next decade which will significantly intensify competition.

There are no laws or regulations that are specific to the operation of this type of business. But you will have to obtain local business permits and occupancy certificates prior to opening. There may be other local or state laws applicable to your business, so we urge you to make further inquiries.
