The Franchisor, and any Parents, Predecessors and
Affiliates
For ease in comprehension of this Disclosure Document
("Circular7''), the following definitions will apply:
"We" or "Our" or "Us" refers to
the franchisor Wheel Repair Solutions International, Inc., or
-"WRSI". "You" refers to the franchisee - the person
purchasing the franchise. WRSI is a Georgia corporation that was incorporated
on May 19, 2003. Our agents for service of process are disclosed in Exhibit A.
Our
Predecessor and only Affiliate, Alloy Wheel Repair Specialists, Inc.
("AWRS") developed the system to be franchised ("System").
We acquired our rights to our trademarks from the Predecessor, and utilize the
offices of that company. We and our Predecessor have common ownership. You
operate within a specific territory (the "Territory"). We license you
to use the System with our service marks, trademarks, logos, trade names, and
proprietary confidential information. It is essential to the franchised
business (the "Business") that you develop new customers as well as
service those existing or potential customers that we refer to or develop for
you. The System provides a comprehensive program including the product,
equipment, and initial inventory required to outfit one mobile reconditioning
facility that provides cosmetic restoration of automobile wheels, primarily to
automotive dealerships and auto body shops, as well as the general public,
through car washes, detail shops, tire stores, and wheel shops. AWRS sells
products and supplies to our Franchisees. We have no Parent Company.
Both we and our Predecessor conduct business as "Alloy
Wheel Repair Specialists." Our Predecessor operates repair trucks in Atlanta, Georgia. Our Predecessor operates out of our offices at 3100 Medlock Bridge Road,
Suite 330, Norcross, Georgia 30071. Our Predecessor has conducted the type of
business offered to our franchisees since October, 2000. Our predecessor has
not conducted business in any other line or business, nor has it offered
franchises in any other business.
You will compete with other businesses and individuals who
provide restoration and repair of automobile wheels, including non-mobile or
standing automotive repair shops.
WRSI has no
other business activities. We have no affiliates that are selling franchises,
and AWRS is our only affiliate that will provide products or services to you.
WRSI has not offered franchises in any other line of business, however, our
Predecessor, AWRS, has twenty seven (27) license agreements in the United
States and Canada, for businesses similar to yours, operating as Alloy Wheel
Repair Specialists. Our Predecessor has never offered franchises of any sort.
You will offer the same services as those licensees, but will not compete in
the same geographical territory. On November 17, 2004, we entered into a
License Agreement with our Predecessor. In that Agreement,
our Predecessor licensed to us the right to further license the "Alloy
Wheel Repair Specialist" trademark to our franchisees.
In addition to the laws that apply to all business in
general, you are required to comply with all local, state, and federal laws
applicable to the operation of your franchise. There are both state and federal
laws dealing with the transportation and disposal of hazardous wastes, which
you will have to comply with and which we help you with as part of our training
process.
