ALLEGRA NETWORK - FDD UFOC ITEM 1 Detail

THE FRANCHISOR, AND ANY PARENTS, PREDECESSORS AND

AFFILIATES

 

To simplify the language in this disclosure document (this " Disclosure Document"), "Company" and "we" mean Allegra Network LLC, the franchisor. "You" means the person who buys the franchise from Allegra Network LLC. If you are a corporation, partnership or limited liability company, your owners will have to guarantee your obligations and be bound by the provisions of the franchise agreement and other agreements as described in this Disclosure Document.

 

American Speedy Printing Center, Inc. ("ASPC"), our predecessor, incorporated in Michigan on July 20, 1976 as Speedy Printing Centers�, Inc. It changed its name on February 17, 1982 to American Speedy Printing Centers, Inc. In December 1995, ASPC acquired by assignment 33 Zippy Print franchise agreements in Canada. On February 3, 1998, ASPC acquired by assignment 22 Quik Print and 2 Instant Copy franchise agreements located in the United States.

 

Our parent, Allegra Holdings LLC, a Michigan liability company organized in September 2000 ("Allegra Holdings"), located at 21680 Haggerty Road, Suite 105, Northville, Michigan 48167, (248) 596-8600 acquired the assets of ASPC on October 12, 2000. Allegra Holdings then assigned all of the operating assets, including franchise agreements, to Allegra Network LLC,.a Michigan limited liability company organized on October 6, 2000. Unless otherwise indicated in this Disclosure Document, "we" and "Company" include Allegra Network LLC and ASPC.

 

On January 31, 2002, Allegra Holdings acquired all of the assets of the Insty-Prints� franchise system from Insty-Prints, Inc. and IPI, Inc. Allegra Holdings concurrently assigned all of the operating assets, including franchise agreements, to us.

 

On January 31, 2005, Allegra Holdings acquired all of the assets of the Signs Now� franchise system from Signs Now Corporation and its affiliates. Allegra Holdings concurrently assigned all of the operating assets, including the franchise agreements, to us. Allegra Holdings retained the ownership of the intellectual property, including the Sign Now� marks, and has licensed us the right to use and sublicense the use of such intellectual property.

 

Our franchise members operate under the Allegra9 Print & Imaging, American Speedy� Printing, Insty-Prints�, or Siens Now� or Instant Copy name and trademark. Our principal business address is 21680 Haggerty Road, Suite 105, Northville, Michigan 48167 and our telephone number is (248) 596-8600. However, we conduct certain activities relating to the Signs Now� franchise system from 6976 Professional Parkway East, Sarasota, Florida 34240, (800) 356-3373.

We have 2 affiliates: Allegra of North America Inc. ("Allegra of North America"), a Michigan corporation incorporated on October 11, 2000 and Allegra Corporation of Canada ("Allegra Corporation of Canada"), a Nova Scotia unlimited liability company incorporated on November 10, 2000. Our affiliates are located at our principal business address and have the same telephone number as us. Our agents for service of process are disclosed in Exhibit A.

Under a separate disclosure document, we currently grant franchises for Allegro Print & Imaging, American Speedy Printing, and Insty-Prints businesses which offer digital and conventional offset printing, copying, electronic pre-press, graphic design and binding services to businesses and the general public.

Under this Disclosure Document, we offer franchises for the operation of a Signs Now� retail center offering a full range of signs and graphioa of all variotieagraphic communications services that include large format digital praphics. vehicle wraps and graphics, traditional interior and exterior signage, retail and exhibit graphics, banners and promotional graphics and signage, and other products and services we periodically authorize ("Signs Now Center").

 

If you are purchasing a franchise to operate a Signs Now� Center, you may acquire an independent business from a third party and convert that business to a Signs Now� Center meeting our standards and specifications (a "Conversion Center"). You may also start your own business in connection with your purchase of a franchise from us (a "Start-Up Center"). (See Item 7)

 

Under our Franchise Agreement, you must operate a Signs Now� Center at a designated location ("your Center"). You must use our distinctive business formats, systems, methods, procedures, designs, layouts, standards and specifications, all of which we may modify periodically ("System"), You also must use our trademarks, service marks, trade names, logos, trade dresses and other commercial symbols we designate periodically for Signs Now� Centers (collectively "Marks").

You will compete with local, regional and national companies offering commercial sign painting, printing and graphics services, businesses offering paid media and related products and businesses offering faxing, copying, packaging and shipping products and services. The market for these services is developed and competitive in most areas of the United States.

We are not aware of any laws or regulations specific to the operation of printing, copying or graphics businesses other than Occupational Safety and Health Administration and environmental protection laws. However, if you provide large format digital imaging at your Center, you will need to comply with federal, state and local laws dealing with the disposal of hazardous materials due to the ink byproduct. You must comply with all local, state and federal laws and regulations that apply to any business. We urge you to make inquiries about these laws and regulations.

We operated printing and copying businesses from 1984 to 1987. We have never operated the type of business being franchised. Since 1987, we have not owned or operated many businesses, except for the 2 prototype digital Allegra Print & Imaging Centers owned by our affiliates. (See Item 20) We began offering American Speedy franchises in 1977, Allegra Print & Imaging franchises in 1996, and Insty Prints franchises in 2002. We began offering Signs Now� franchises in February 2005.

 

Allegra of North America has not operated businesses of the type being franchised. Allegra of North America and its predecessor, North American Speedy, Inc., have offered Speedy Printing� franchises in Ontario and British Columbia since September 8, 1993, and have offered Zippy Print� franchises in Ontario, British Columbia, and Nova Scotia since November 20, 1995, As of December 31, 2007, Allegra of North America had 3 Speedy Printing� franchisees, 5 Zippy Print franchisees and 18 Allegra Print & Imaging franchisees operating in Canada.

Allegra Corporation of Canada has not operated businesses of the type being franchised, or offered franchises in the quick print business. Allegra Corporation of Canada and its predecessor, Canadian Speedy

Printing, Inc., have offered support services and products to Allegra of North America''s franchisees since September 8, 1993.

 

Except as described above,, neither we, Allegra Holdings nor our affiliates and predecessors have engaged in any other line of business or offered franchises in any other line of business; however, we may do so in the future.
